of part or the entire Site, this is the entire Agreement between you

on the Site does not constitute a waiver of any right in such information

or its licensors and is protected by copyright and other intellectual
property laws. Information received through the Site may be displayed,
reformatted and printed for your personal, non-commercial use only.
You agree not to reproduce, retransmit, distribute, disseminate, sell,

and confidential information that is protected by applicable intellectual

compilation (meaning the collection, arrangement and assembly) of all
Content available through the Service is the exclusive property of RisonChu.com
and is likewise protected by the various applicable intellectual property
and other laws of the United States and other countries. You further
acknowledge and agree that Content contained in sponsor advertisements
or information presented to you through the Service or advertisers are
protected by copyrights, trademarks, service marks, patents or other
proprietary rights and laws. Except as expressly authorized by RisonChu.com
or its advertisers, you agree not to modify, rent, lease, loan, sell,

other identifiers of RisonChu.com or its Representatives without the

to cause confusion; or (d) in a manner that implies inaccurately that

own activities, products and services or those of third parties.
RisonChu.com grants you a personal, non-transferable and non-exclusive
limited right to access, use and display the Service, the Software and
the Content provided herein solely for your own personal, noncommercial
use and license to use the object code of its Software on a single computer;
provided that you do not (and do not allow any third party to) copy,
modify, create a derivative work of, reverse engineer, reverse assemble

attorneys, staff and affiliates (collectively, "Affiliated Parties")
harmless from any liability, loss, claim and expense, including reasonable
attorney's fees, related to your violation of this Agreement or use

You may be required to create an account using a Username and password
to access certain areas and/or features of the RisonChu.com site. If
so, you are responsible for maintaining the confidentiality of that
password and are fully responsible for any activities that occur via
use of that password (including any purchases made via that password).
You agree to immediately notify RisonChu.com of any unauthorized use
or suspected unauthorized use of your password. You also agree that
if you use your password during any session that you will exit from
your account at the end of that session. RisonChu.com will not be liable
for any loss or damage arising from your failure to comply with this

RisonChu.com reserves the right, and you authorize RisonChu.com, to the
use and assignment of all information regarding your use of the Site
and all information provided by you in any manner consistent with the
RisonChu.com Privacy Policy.
RisonChu.com operates an interactive transaction service allowing access
to third-party merchant sites (Merchants) from which RisonChu.com Users
may purchase certain goods or services. You understand that RisonChu.com
does not operate or control the products or services offered by Merchants.
Merchants are responsible for all aspects of order processing, fulfillment,
billing and customer service. RisonChu.com is not a party to the transactions
entered into between you and Merchants. You agree that use of the RisonChu.com
service is AT YOUR SOLE RISK AND IS WITHOUT WARRANTIES OF ANY KIND BY
RISONCHU.COM, EXPRESS, IMPLIED OR OTHERWISE INCLUDING WARRANTIES OF TITLE,

WILL NOT BE LIABLE TO YOU FOR ANY INCIDENTAL, SPECIAL OR CONSEQUENTIAL
DAMAGES OF ANY KIND THAT MAY RESULT FROM USE OF OR INABILITY TO USE

All rules, policies (including privacy policies) and operating procedures
of Merchants will apply to you while on the Merchants' sites. RisonChu.com
is not responsible for information provided by you to Merchants. Merchant
and RisonChu.com are independent contractors and neither party has authority
to make any representations or commitments on behalf of the other.

and such Web sites are not investigated, monitored, or checked for accuracy

computer codes or files or programs that would or are designed to interrupt,
destroy or limit the functionality of any computer software or hardware
or telecommunications equipment. You will not intentionally or unintentionally
interfere with or violate any local, state, federal, national or international
law, including, but not limited to, regulations promulgated by the U.S.
Securities Exchange Commission, any rules of any other national or regional

having the force and effect of law. You agree that you will not stalk

RisonChu.com has no obligations to monitor the Site. However, you acknowledge
and agree that RisonChu.com has the right to monitor the Site and to
disclose any information necessary to operate the Site properly, to
protect itself and its sponsors and customers and to comply with legal
obligations or governmental requests. RisonChu.com reserves the right
to refuse to post or to remove any information or materials, in whole
or in part that in RisonChu.com's sole discretion are objectionable or
in violation of this Agreement. RisonChu.com also reserves the right
to prohibit any user who, in RisonChu.com's sole discretion, violates
this Agreement from using the Site and related services. Such prohibition
may occur without notice to the user.
You agree to indemnify, defend and hold harmless RisonChu.com, its affiliates
and its sponsors against any and all claims, damages, costs or other
expenses that arise directly or indirectly out of or from (a) your breach
of this Agreement, (b) your violation of the Agreement and/or (c) your
activities in connection with the Site. For international use, you agree
to comply with any and all applicable rules and laws regarding online
conduct and Content. You agree to comply with all laws regarding the
transmission of technical data exported from the United States or the
country in which you reside.
From time to time, RisonChu.com may offer contests in which we request
certain personal information. At a minimum, the required information
includes name and email address; in some cases, the user must answer
mandatory survey questions about a range of other personal data. The
information gathered in the entry form is used to verify the entrant's
identity, to send the entrant an email notification that their entry
has been received, and to contact winners and/or prize recipients. There
are two situations in which RisonChu.com will divulge this information
to a third party--provided the user gives express consent:
1. A user may expressly choose to receive additional information from
the contest sponsor, in which case the user's personally identifiable
information is divulged to the advertiser.
2. Some of the contests may be hosted on the RisonChu.com Websites but
administered by the sponsor; in such cases, the information a user provides
is passed on to the third party as long as that user gives express consent.
3. Because the rules and terms of each contest can vary, all information
about each contest is clearly posted during the event. All contests
are conducted in full accordance with United States federal and state
laws.
You may not, nor may you allow others to, directly or indirectly: (a)
attempt to or actually disrupt, impair or interfere with, alter or modify
the Site; or (b) collect or attempt to collect any information of others,
including passwords, account or other information.
The material available in the Site is for informational purposes only
and should not be construed as an offer to sell, a solicitation of offers
to buy or an endorsement, recommendation or sponsorship of any company
or security. We, our employees and/or providers of Third-Party Content

You agree that RisonChu.com may terminate your account and/or password
at any time for any reason and remove or discard any of your Content
from the RisonChu.com Site. RisonChu.com may at its discretion discontinue
use of its Site in whole or in part. You agree that RisonChu.com will
not be liable to you or any third-party for any termination of the Site
or your access to the Site.
This Agreement shall be treated as though it were executed and performed
in San Diego, California and shall be governed by and construed in accordance
with the laws of the State of California without regard to conflict
of law principles). Any cause of action of you with respect to the Site
(and/or information, forms and agreements, thereon) must be instituted
within six (6) months after the cause of action arose or be forever
waived and barred. All actions shall be subject to the limitations set
forth in this Agreement. The language in this Agreement shall be interpreted
as to its fair meaning and not strictly for or against either party.
All legal proceedings arising out of or in connection with this Agreement
shall be brought solely in San Diego, California. User expressly submits
to the exclusive jurisdiction of said courts for any claim, action or
dispute under this Agreement and consents to extra-territorial service
of process. User agrees that the prevailing party in any such claim,
action or dispute shall be entitled to collect attorney's fees and costs.
Should any part of this Agreement be held invalid, illegal or unenforceable,
that portion shall be construed consistent with applicable law and the
remaining portions shall not be affected and shall remain in full force
and effect. To the extent that anything in or associated with the Site
is in conflict or inconsistent with this Agreement, this Agreement shall
take precedence. Failure of RisonChu.com to enforce any provision of
this Agreement shall not be deemed a waiver of such provision nor of
the right to enforce such provision.
RisonChu.com may discontinue or change the Site, or its availability
to you, at any time without notice. This Agreement is personal to you
and must be used for non-commercial purposes, and you may not assign
your rights or obligations to anyone.
